使用條款及條件

 

請閣下在下一步前仔細閱讀以下用戶(定義請見下文)條款。以下有關閣下使用和訪問本網站和服務的使用。透過點擊註冊」或同具等效果的按鈕,代表您同意(i)您本人及(ii)TS 20. INC., LIMITED之間帶法律約束力的合約條款所限制,同時表明閣下接受並同意這些用戶和隱私政策的條款。

本使用條款為用戶而設的細節及條款構成TS 20. INC., LIMITED (TS 20)及您(用戶)之間的合約的一部分(定義請見下文)

 

1.1       在此使用條款中,下列的字句或解釋具有以下涵義:

 

申請表指一個用戶在本網站上註冊成為會員、訪問網站,並利用服務時所完成和/或提交的申請或申請表。

 

目錄指本網站的產品目錄,列出網上可供出售的產品。

 

改變指任何添加,刪除,修改或變更本服務,在服務提供和/或服務的性能標準,TS 20有權不時自行決定作出改變。

 

費用指用戶在網站所購買產品的任何收費或費用。

 

訂單確認TS 20的確認書以確認收到用戶的訂單,可能通過網站顯示的訊息/或發送到用戶指定的電郵地址的電郵確認。

 

內容包括文本、圖像、圖案、音樂、軟件、音頻、視頻、資訊或其它材料。

 

合約用戶TS 20簽訂的合約,當中包括: (i) 申請表;(ii)細節及條款; (iii) 隱私政策;(iv)退還政策。

 

TS 20」指TS 20. INC., LIMITED,在香港註冊成立的有限責任公司(公司編號0004186) 亦是本網站的產品賣家。

 

外部廣告」指網站上除TS 20外由第三方或源自第三方擺放或張貼的廣告。

 

使用條款」指這些由TS 20規定有關服務的使用細節及條款,並張貼在TS 20的網站上,包括TS 20不時發出的任何修訂或修正版,而TS 20擁有其最終決定權。任何此類的修改或修訂版將不時被發佈到網站上而恕不另行通知。用戶有責任定期查看本網站所上載的細節及條款。用戶對此網站的持續訪問,使用服務,或訂購任何產品將會被視為接受這些改變。

 

知識產權」指所有既定的,視情況條件而定的和將來的知識產權,包括但不限於商譽,信譽,機密信息,版權,商標,標誌,服務標誌,設備,計劃,模型,圖表,規格,程式代碼源,數據和流程,設計權,專利,專有技術,商業秘密,發明,式樣,數據庫權,在每種情況下不論是否註冊,並且對上述權利的保護的任何申請或註冊,及在任何世界的一部分的所有更新和擴展,無論是現在已知或在將來創建。

 

用戶」指訪問此網站,註冊為會員,利用服務和/或訂購網站上任何產品的任何個人。

 

用戶內容」是指用戶通過該網站發佈、上傳、出版、提交或以其他方式使內容變得可見,包括但不限於信息、建議、想法、概念、知識、評論、技巧、問題、意見、評價和推薦,以及當中的內容。

 

用戶資料」指TS 20取得的全部資料,及因應用戶使用本服務而提供予TS 20的資料和/或數據,不論是否與其本人/本身有關,為用戶的使用本服務的結果。

 

訂單」指用戶在本網站購買TS 20產品時提交的訂單。

 

一方」指TS 20或用戶(視情況而定),而雙方」是指TS 20和用戶。

 

隱私政策聲明是指TS 20關於收集與本網站有關的個人資料及本網站用戶隱私的政策。

 

產品資料指一些資料包括但不限於產品細節、配料、使用所述產品的方法和/或任何由本網站的對產品作出的陳述。

 

產品指在目錄中所列的產品,商品或物品。

 

分享獎賞計劃 (PIP)TS 20可不時建立的分享獎勵計劃,其規則及結構由TS 20訂立修訂並發布在網站上或以其他TS 20認為適當的方式發布。分享獎勵計劃的目的是鼓勵並獎勵用戶邀請更多關注健康及保健的新用戶加入TS 20的平台並購買及使用產品。分享獎勵計劃背後的精神是讓其會員建立一個關注健康及保健的社區,並在更廣大的香港社區提高公眾對健康及保健的關注。

 

退貨政策」指有關用戶退換已購買的產品的退換政策,如網站所TS 20有絕對酌情權不時在網站上修改並發布退貨政策而即時生效,而無須事先取得用戶同意。即使用戶曾經接受先前版本的退貨政策,用戶即時受新退貨政策規管。

 

服務」指由TS 20所提供的服務即TS 20提供了一個網上平台,讓用戶訪問、瀏覽和/或搜索目錄並購買產品; 後並提交產品評論、問題、意見和/或用後感;/或任何其他活動,包括但不限於PIP (TS 20擁有其絕對酌情權),按照本文之條款。

 

用戶自訂條款」指任何用戶聲稱適用的條款和條件,不論以任何方式把這此條款和條件引入。

 

網站」指TS 20所擁有或控制的互聯網網站/或流動應用可能多於一個,無論是Android系統,iOS系統或其他作業系統),包括但不限於: http://www.TS20challenge.com

 

工作日」是指任何一天不包括星期六,星期日或香港的公眾假期 (指香港持牌銀行一般的營業時間)

 

1.2       除非有相反的意思表示:

 

(a)            本使用條款、隱私政策、退貨政策和 /或其他文書的引用包括其中的任何變化或取代;

(b)           引用的法律條文這些條款的不時修訂或重新制定版本,或因應其他倏款的不時修改,和包括引用任何重新頒佈的條文(無論有沒有修改);

(c)             單數包括複數,反之亦然;

(d)            ""一詞包括個人在任何性別、公司、企業、夥伴關係或聯合合資企業、非法人的團體或協會或任何政府機構,和包括提述該人的遺囑執行人、管理員、繼任者、替代人 (包括以約務更替的人) 和受委派的人;

(e)             如果一段被指定的時間日期是由某一天或某一行為或事件計起,那一天需排除計算內;

(f)             對一天的引用將被解釋為時間段即午夜起計,二十四(24)小時後為止;

(g)             對任何東西的引用(包括但不限於,任何金額)是對整體和各部分的它的引用和對一群人的引用是所有這些集體,任何其中兩個或更多的集體和每一個人單獨個體

(h)            「包括」、「例如」或「如」不會用作或被解釋為一個限制,不會限制該有關例子的單詞為那個例子相似的例子

(i)              任何解釋規則不得基於合約一方草擬了本使用條款或任何部分而對該合約一方不利;和

(j)             標題只為了方便,並不影響本使用條款的解釋。

 

2.              條款在服務上的應用

 

2.1.         本使用條款適用該服務和/該網站的使用。

 

2.2.         用戶同意受約束,並將充分觀察和遵守本使用條款、隱私政策和退貨政策,隱私政策和退貨政策須被當作納入本使用條款

 

2.3.         本使用條款適用合約(用戶自訂條款除定)。免生疑問,用戶承認並同意,TS 20受任何用戶自訂條款的約束。

 

3.          服務

 

3.1       即使可能與申請表格或使用條款有所不同,及即使合約已經生效,TS 20保留拒絕提供服務或拒絕開始服務的權利,而無需為拒絕給予任何理由,亦不需要承擔用戶任何賠償。在這個情況下,用戶和TS 20之間的合約將被視為從未生效,而無任何一方對另外一方須付上任何義務。依照上述,當用戶到網站訪問後能夠使用服務或已經在網站提交申請表後,合約將被視為生效。

 

3.2       不損害條款3.1的原則下,用戶確認並同意當會員登記賬戶後,TS 20將需要一定的處理時間為用戶激活該服務,並將不為激活服務隨後的延遲負責。

 

3.3       不損害條款3.1的原則下,及/或即使有任何與上述相反的情況出現,TS 20的絕對酌情權決定服務的生效日期。

 

3.4       用戶須自己取得和維持,和負責(TS 20在此有絕對酌情權) 所有電信和其他服務,電腦和其他任何硬件和/或任何輔助軟件透過互聯網服務來登入此服務。

 

3.5       在不損害上述條款的原則下,TS 20會以合理的能力去提供該服務,並受到以下條款所規限 :

 

(a)        用戶知道該服務所提供的網絡或系統,伺服器和設備或會不時無效的 (部分或全部) ,包括但不限於(i)機械故障; 維修(不論是緊急,預先安排或其他方式); 硬件或軟件升級; 電信連接問題; 或(ii)其他超越TS 20所能控制的因素;

 

(b)       TS 20在任何的情況不會因為故障或無法提供服務或提供連續的、無差誤的、無間斷的服務或任何其他情況而負上責任。

 

3.6       TS 20並不保證或擔保用戶將能夠連續或全部,或以任何方式使用不會間斷的服務。

 

3.7       TS 20並不保證或擔保用戶內容內的形式,字型,顏色,樣式,文本,感覺會最終出現在網站上,TS 20對上述任何方式不負責任。

 

3.8       為避免疑問,TS 20擁有以下絕對酌情權:

 

(a)            在本網站上插入並刊登聲明向介紹用戶內容,或在TS 20認為必要或適當時採取行動向網站的瀏覽者表明TS 20不接納用戶內容的聲明或資料,包括但不限於本網站上插入並刊登聲明表示TS 20與用戶或用戶內容並無關係,或表明TS 20並不認可用戶內容中的聲明或資訊。

 

(b)           決定公眾和/或用戶訪問網站的細節及條款。

 

 

3.9    用戶確認並同意:

 

(a)            TS 20不能亦不會控制或驗證任何外部廣告產品資訊,或者外部廣告包含的任何內容和/或產品資訊和狀況合法性或適用性;

 

(b)           TS 20不保證外部廣告、產品資訊或任何內容包含準確的資料;

 

(c)            外部廣告、產品資訊和其中的內容是在現有基礎上提供而並無TS 20的保證,用戶應自行承擔倚靠外部廣告、產品資訊和其中內容的風險

 

(d)       TS 20不向用戶負責和或承擔以下責任:

 

(i)             任何外部廣告和其中包含的內容/

 

(ii)           任何可能招致的損失或破壞,或用戶因應有關任何產品和/或外部廣告而可能招致的損失或破壞;和

 

(e)        用戶在進行任何購買產品的交易時,已經取得或將依據自己的獨立判斷而並沒有以任何方式倚賴任何TS 20的陳述 (如有)行為或遺漏,而用戶承諾他/她其不對任何有關上述而作出任何針對TS 20的索賠及法律行動。用戶進一步確認並同意他/她與TS 20/或任何其他第三方的任何交易將完全在個人風險下進行。

 

3.10  在不損害上述下,TS 20不承擔或負上任何用戶張貼、上載、提交的任何內容或 TS 20刊物所引起的責任及法律責任,包括但不限於任何錯誤、誹謗、中傷、詆毀、遺漏、虛假、淫穢、色情、褻瀆、威脅,或任何類似內容所包含的偏差。用戶承諾他/她不對任何有關上述而作出任何針對TS 20的索賠及法律行動。

 

3.11     當進行維修時(無論是緊急情況或定期維修或其他情況下),TS 20並沒有義務為用戶提供服務和/或任何電腦系統和/或設備的硬件或軟件升級。

3.12     TS 20有絕對酌情權作出不時的改變(包括更改其標準和有關服務的程序,以及服務水平是否升或降級)而未經事先的書面通知。

 

4.              帳戶註冊

 

4.1.         在訪問該網站、利用該服務、提交該申請表格和/或在申請會員帳戶,該用戶須保:

 

(a)            該用戶是至少年滿18歲(如果該用戶是18歲以下,他須從他的父母或監護人取得同意,他們接受本使用條款和他們的協定同意負責該用戶的操作和購買相關產品的任何收費);

(b)           該用戶擁有法定權力,在自己與TS 20之間,具有法律約束力的義務;

(c)            如果該用戶是個人公司/業務實體創建的帳戶,該用戶代理身分代表公司/業務實體,在該公司/業務實體TS 20之間,一個具有法律約束力的法定權力義務;

(d)           該用戶將根據本使用條款使用該服務和/或該網站;

(e)            由該用戶在該網站上的申請表格中提供的所有資訊在登記過程中都是真實、準確、當前和完整,該用戶須不時地更新此類資訊,以保持準確,反映現在和完;和

(f)            該用戶須保他帳戶資訊,包括但不是限於他/它不得透露給任何第三者他/它密碼。該用戶就他/它帳戶的任何活動或動作為負上所有責任,無論是否他/它已授權進行此類活動或行動;

(g)            該用戶的帳戶是僅供個人使用,該用戶不可能委派或轉移其帳戶到任何其他人或實體;

(h)           該用戶不應濫用此服務;

(i)             如用戶加入PIP,用戶不應為個人得益濫用PIP的規則。用戶必須尊重PIP的精神,亦應確保其購買產品目的是為個人使用;

(j)             如用戶要求新用戶加入PIP/或其他TS 20相關的分享獎勵計劃,他須以合理的努力來確保新用戶加入PIP是為了享受產品所帶來的健康與保健目的。無論如何,用戶不應將PIP視為以招聘新用戶而賺取佣金的工具。用戶必須在任何時間均遵從PIP的精神,即在廣大社區提高健康與保健的意識。

 

4.2.         TS 20有絕對權因任何原因而終止任何用戶的登記。

 

5.              費和付款

 

5.1.         該用戶須付給TS 20在該網站上訂購產品費用。一旦付款,此費用是既不退款,也不可兌換,除按本使用條款和/或退貨政策外。該用戶同意一旦費用付予TS 20,此費用的所有權則完全屬於TS 20

 

5.2.         當被要求時,該用戶須PayPal、信用卡或任何TS 20允許的其他付款機制該網站上所述支付費用。該用戶特此授權TS 20收集(無論是直接還是間接)款項,通過收取該用戶的信用卡(其中細節由該用戶提供),通過第三者網上付款處理系統或在該網站上所述的付款方法之一。該用戶應提供一般帳單資訊,如名稱、帳單中的地址、聯絡號碼和信用卡資訊到TS 20其第三者網上付款處理系統

 

5.3.         如果該用戶TS 20第三者網上付款處理系統,該用戶或會受到第三者網上的條款及條件來使用第三者網上付款處理系統的服務,第三者網上付款處理系統的個人資訊收集做法。TS 20概不負責任何損害、損失或傷害該用戶使用第三者網上付款處理系統的服務。免生疑問,該用戶同意因第三者網上付款處理系統的行為或不行為的任何法律補救措施或責任的申索,只限於第三者網上付款處理系統引起該用戶的危害及該用戶同意不會試圖強加責任,或尋求從TS 20對此類行為或遺漏任何法律補救。 因此,該用戶使用此類第三者網上付款處理系統之前負責審查這種第三者網上付款處理系統的條款及條件以及隱私政策。

 

5.4.         該用戶承認並同意,TS 20不能控制其銀行要求支付的額外費用(有關用戶的收費)和該用戶須完全自行負責有關費用

 

5.5.         TS 20自行在任何時間審查並調整收費,和任何新的收費,TS 20在該網站上指定的自行決定日期開始適用。

 

5.6.         除非另有指定,否則所有收費以港元支付

 

6.         訂單和交貨

 

6.1.      該用戶須在該網站上提交訂單,以該網站上所指明的形式或方式作為購買產品的提出要約。此後,TS 20在發出訂單確認書以對訂單進行確認通過。

 

6.2.      該用戶承認並同意,在TS 20向該用戶提供的送貨位址發出訂單以接受訂單之前,訂單仍然只是一個由該用戶提出的要約,TS 20無須供應產品給該用戶。

 

6.3.      TS 20發出的訂單確認書前,TS 20保留有關不處理該用戶的訂單的權利和該用戶保留有關取消訂單的權利。免生疑問,當TS 20發出訂單確認書,該用戶則無權取消或作出修訂訂單。

 

6.4.      錯誤是有可能出現,在這種情況下TS 20沒有義務履行訂單(即使已發出訂單確認書)。如果TS 20在該用戶訂講的產品描述或任何價格發現錯誤,TS 20將儘快通知該用戶錯誤和給該用戶確認正確的描述或價格,該用戶可選擇再確認訂單或取消訂單。TS 20若無法與該用戶聯繫,TS 20將當作訂單取消。如果取消的訂單是根據本條款和該用戶已支付了訂單,該用戶將有權獲得全額由該用戶支付任何款項的退款。

 

6.5.      在訂單確認後,TS 20須盡力將訂購的產品在該用戶在訂單中要求的交貨地點提供給該用戶,或在情況適合下以其它方式如電子送達有關合適的送達方式,如有爭議,TS 20有絕對酌情權。

 

6.6.      TS 20須盡一切努力履行該用戶的訂單,但如果TS 20因任何原因必須拒絕或不能履行訂單,包括但不是限於供應短缺和供應變更,TS 20不須為此對該用戶負責。

 

6.7.      該用戶承認並同意,TS 20不須承擔該用戶由於任何因TS 20延遲交貨產生或有關的任何損失、負債、成本、損害賠償、收費或支出。

 

6.8.  該用戶承認並同意,在派發後,購買的產品風險的損失或損害轉移到該用戶上。該用戶承認並同意,在送貨後,購買的產品所有權轉移到該用戶上。

 

6.9.      如果由於該用戶的不合理拒絕接受貨物而延遲送貨或如果該用戶不接受送貨(於TS 20的第一次嘗試提供產品給說該用戶的十四(14)天後)或由相關快遞收集貨品,或該用戶提供的位址不正確,TS 20可能(不妨害其他根據本使用條款的權利或補救措施):

 

(a)        TS 20收取該用戶合理的存倉費,再次快遞費用和/或其他TS 20在事件中交付該產品所產生的或與該用戶的不合理拒絕接受交付的合理費用;

 

/

 

(b)       不再準備送出購買的產品,並通知該用戶適用的合約即時取消,在這種情況下TS 20將退還給該用戶實際上由該用戶支付的收費(減取任何合理的行政費或其他第6.9(a)條中規定的費用。)

 

7.         取消

 

7.1       如果發現錯誤,或於任何原因在訂單所訂購的產品不適用,TS 20保留可取消適用的合約和訂單確認的權利。在這種情況下,TS 20會通知用戶並退回任何已付的費用,而退回已付費用的形式由TS 20決定。

 

8.         用戶內容及用戶表現

 

8.1       TS 20有絕對酌情權可以不時修訂或修改或拒絕發布任何用戶內容而不需提供理由,如果有關的用戶內容在TS 20單一意見下:

 

(a)        是無質量或處於不合適的狀態去處理 (根據TS 20現行標準規格和程序);

(b)       不遵守TS 20的標準和程序;

(c)        無法在電腦或其他機器上閱讀;

(d)       包含一些TS 20(在其絕對酌情權)下認為的資料,如:

(i)        違反合約內的任何條款;

(ii)       可能對TS 20不利的監管或法律行動;

(iii)      違反或可能違反任何法律;

(iv)      侵犯或可能侵犯任何人的權利;

(e)        TS 20受到或可能受到以任何理由作出的賠償責任。

 

8.2        在以下的情況下:
 
(a)            該用戶的內容;
 
(b)           該服務會導致TS 20違反任何法律、法規或規章或指引,TS 20有權立即暫停服務和/或刪除該網站上的用戶內容,而不需向用戶承擔任何法律責任。在上述情況發生時,TS 20有權立即終止合約,亦不需向用戶承擔任何法律責任。
 
8.3   用戶承認並同意用戶須自行遵守任何法律、條例、法規或規章(有關其訪問和使用本網站和/或服務)
 
8.4       有關用戶訪問和使用本網站和/或服務,用戶須聲明並保證他不會 :
(a)        違反任何法律、條例、法規或規章或任何法庭的命令;
(b)       使用本網站和/或服務作其他沒有在合約上制定的用途;
(c)        侵犯任何人或團體的權利包括但不限於知識產權權利、私隱及合約權利;
(d)       使用本網站發佈未經請求的電子郵件、廣告、信息,或以其他形式的垃圾郵件;
(e)        騷擾、跟踪或其他用戶造成滋擾;
(f)        收集儲存其他用戶的個人信息;
(g)        使用在本網站/或服務所獲得的任何信息,並用於其他事情上(無論是合法還是非法的);
(h)       冒充任何人或團體;
(i)        使用此服務和網站作任何非法目的;
(j)        使用本服務時作出任何虛假陳述;
(k)       張貼、上傳、發佈、提交或傳輸任何以下內容:(i)用戶有合理懷疑此內容有欺詐、虛假誤導或欺騙的成份; ii)是誹謗、淫穢、色情、低俗或帶攻擊性; iii)為種族主義或歧視任何個人或團體; iv)為暴力或威脅,或宣揚暴力; 或(v)宣傳非法或有害的活動; 或(vi)違反任何法律和法規;
(l)        使用褻瀆、淫穢或任何形式的髒話;
(m)      訪問或篡改服務或網站(非公共領域);
(n     透過傳輸或分發病毒干擾或損壞網站或服務,包括但不限於特洛伊木馬、惡意代碼、惡意軟件、或其他類似的方法或技術;
(o     試圖去探測、掃描或測試網站系統或網絡的漏洞或者任何認證措施;
(p    通過訪問網站試圖去影響任何服務的性能或功能;
(q     避開、繞過、禁用、刪除或以其他方式逃避任何TS 20保護本網站所實施的技術措施;
(r     提倡、鼓勵或協助任何第三方做上述任何一項的事情; 
(s     使用本服務和及或網站犯上任何刑事罪行
(t      PIP完全地當作賺取佣金的工具而濫用PIP並漠視其背後的精神
(u     以具欺詐性,強迫性與/或其他非法與/或不適當的方式來使更多新用戶加入PIP/TS 20的平台
 
 
 
8.5       用戶確認並同意TS 20有權調查和起訴任何侵犯在第8.4內的副條款。在任何情況下,TS 20可以舉報或與有關執法部門去檢控有關的用戶和採取適當的法律行動。
 
8.6       為免生疑問,用戶承認並同意TS 20沒有義務去監察網站或服務,或去檢討、編輯或更新任何用戶內容,但TS 20保留有關權利。
 
8.7       在不影響任何合約補救方法的前提下,TS 20保留權利,在任何時候和不作另行通知,去刪除或禁止訪問任何用戶內容 (TS 20有絕對酌情權去衡量任何反對理由或違反本條款)
 
9.         知識產權和保證
 
9.1       用戶承認所有在服務內使用的軟件和技術的知識產權均由TS 20保留和/或其合法擁有者,用戶不得做或允許任何直接或間接的偏見均損害合法擁有者的權利和利益。用戶不得以任何方式使用或複製與該服務相關的任何商標(事前沒有得到TS 20的書面同意) 
 
9.2       用戶在此承諾並同意:
 
(a)            TS 20是該商標和其所有衍生品的合法擁有者;
(b)           不會使用該商標和其任何衍生品或他相似的名稱或商標;
(c)            所有權利、利益和商標帶來的商譽,或其任何衍生品均專屬於TS 20; 
(d)           不會註冊與商標和其任何衍生品相似的域名,或使用任何相似的名稱包括任何視覺或同音詞或者其他衍生的名稱。
 
9.3       TS 20不作聲明或保證由用戶使用其服務將不會在知識產權法下構成任何的侵權或濫用。
 
9.4       用戶同意承擔使用本服務時所產生的所有風險。儘管任何與此相反的事情,TS 20均不作任何保證該服務、軟件或任何互聯網上的信息沒有任何電腦病毒,和TS 20不須承擔任何與上述有關的責任或法律責任。
 
9.5       用戶同意接受有關電腦軟件或技術的特許協議的約束。TS 20可不時要求用戶同意及執行該服務,否則TS 20有權自行停止或暫停該服務。
 
9.6       用戶特此授予TS 20,其有關的公司和TS 20的代理商和分包商,一個永久的、不可撤銷的、全球性、非排他性的、不收費、免版稅的,再授特許的和轉讓的許可去使用、處理、顯示、重出示、儲存、發佈、傳播、交流、改編、翻譯、修改、經營和/或以任何其他方式,將用戶內容任何部分使用於任何目的上。
 
            用戶同意TS 20是無義務去給予用戶任何有關其他用戶內容的作者身份,並且沒有義務去執行第三方以任何形式的歸因。TS 20保留權利去披露 (用戶亦在此同意此披露) 用戶的身份和個人數據 (i) 為了歸因,以及(ii )向任何第三方聲稱某用戶大量張貼違反他權利的資料,包括但不限於,知識產權和隱私權。

 

9.7           用戶應向TS 20確保,聲明及保證:
 
(a)            所有用戶的信息、資料及用戶內容不得誹謗任何一方;
(b)           用戶內容不會侵犯任何一方的權利(包括第三方在世界各地的知識產權權利);
(c)            用戶內容內的所有知識產權(包括版權)均屬持有人所擁有。用戶再保證任何用戶內容均不侵犯任何第三方的知識產權權利。假若用戶是該用戶內容的版權持有人,該用戶需保證其擁有使用權和已得到TS 20的允許;
(d)           用戶有權訂立合約,亦有能夠履行合約內的義務,並給予TS 20相關權利(包括根據第9.6;
(e)            為了履行用戶在合約內的義務,用戶有相關部門、機構、組織或根據法律適用法律的同意及準許;
(f)            用戶內容不違反任何領土的法律、法規和規章,包括香港;
(g)            用戶內容不會令TS 20侵犯任何人的權利或違反任何法律、法規和規章,包括香港;
(h)           用戶內容不會引起煩惱、尷尬、窘迫、騷擾、任何種類的干擾或滋擾,或者不是為了公共利益,或含有淫穢、種族或民族反感的資料,或冒犯等。
 
9.8       用戶承諾:
 
(a)            不會發送或提交任何資料或信息,或以其他方式使用該服務,其目的是受任何地區的法律、法規和規章所禁止的,包括香港
(b)           不會做任何事情令TS 20違反任何地區的法律、法規和規章,包括香港
(c)            在使用該服務時,用戶將不會做任何犯法的事情或會侵犯任何第三方知識產權的事情。
 
9.9       在符合此條款的規定下,用戶在合約生效期內只有有限的、非獨家的和可撤銷的權利去查看及閱讀有關TS 20所刊登的內容(包括當TS 20要求收取任何費用時) 
 
9.10     用戶不得使用、複製、修改、改編、採用、創造許可的衍生作品,去出售、廣播或以其他方式利用或交易TS 20所發表的內容,除了本條款明確許可。

 

10.       保密

 

10.1.    在合約期內,TS 20(以下簡稱「披露方」)可但並非必須向用戶(以下簡稱「接受方」) 披露專有或保密信息。接收方應對披露方的所有機密或專有信息嚴格保持保密,包括但不限於設計、計劃或與之有關的任何研究項目過程中的任何有關的披露方其他信息、工作、未來的發展、科學、工程、製造、市場營銷或商業計劃或財務或人事事項,其現在或將來的產品、銷售、供應商、員工、投資者或企業,包括由披露方所確定的價格和折扣(「保密信息」),或其他不論是在口頭、書面、圖形或電子形式理應被稱為機密信息 。

 

10.2.    接收方不得使用,公開或授予使用這類給任何第三方,除了合約規定對披露方的義務外。接收方應確保其僱員、代理人或顧問在需要了解的基礎上作出機密信息的提供,保持機密信息嚴格保密,除合約中被明確允許外對這些信息不作任何使用。接收方應使用(並要求所有的員工、代理和顧問)至少要以接受方的使用標準作為合理標準,以防止未經授權使用或披露類似性質的機密信息,但在任何情況下不得低於合理標準。接收方須在發現任何未經授權的使用披露方的機密信息或披露迅速通知披露方。

 

10.3.    包含在第10.1條和10.2條的義務在以下情況並不適用:

 

(a)        在披露方披露該機密信息時,除根據保密義務外,接受方已經知悉該機密信息;

(b)       在其披露給接收方時,該機密信息一般提供給公眾或屬於公共領域;

(c)        該機密信息普遍適用於公共領域,或於披露後屬於公共領域或以其他不是通過違反合約的行為,或接收方的遺漏方式等;

(d)       除根據保密義務外,該機密信息由沒有義務披露予其他人的第三方透露給接收方;

(e)        該披露或使用是按法律規定,任何監管機構或規則以及相關的認可證券交易所的規定。

 

10.4.    該條款於合約終止後持續有效。

 

11.       責任限制

 

 

11.1     用戶認同(i)該服務有涉及人為及機器的錯誤、遺漏、延誤和損失,包括不慎遺失數據的可能性;及(ii)該用品可能含有製造缺陷而不能歸咎於TS 20,這可能會導致用戶損失或受到損害,用戶現同意,不得要求TS 20就上述責任所導致的損失或損害負責。

 

 

11.2        TS 20不就以下作出擔保,聲明或保證:

 

(a)            該服務將可在連續或每天24小時,每週7天的基礎上提供;

(b)           該網站將可在連續或每天24小時,每週7天的基礎上供瀏覽;/

(c)            用戶從使用服務或使用該用品衍生的效果或益處 。

 

11.3     用戶認同,TS 20的系統、服務器和設備,或其他第三方系統、服務和設備及用於操作的網站等可能不時失效,或因機械故障僅部分業務維持效用,維修結果,硬件或軟件升級,電信連接問題或其他原因引起的任何責任。因網站維修的緣故,TS 20可自行安排停機時間而不給予公告。TS 20不對任何因此類的停機時間所衍生的任何損失,損害,索賠,任何費用或支出或任何失效電信系統或互聯網,技術故障,錯誤,遺漏,中斷,延遲或不可操作性在操作或傳輸,計算機錯誤或病毒,在通信線路或通信網絡的任何故障,或數據或其他任何形式的破壞的任何損壞或丟失承擔責任。

 

11.4     除本條款及其他用戶條款以外,TS 20保證截至交貨時,所購買的用品具備可銷售的品質並符合用戶下訂單時任何已知的目的。

 

11.5     用戶認同並同意,服務的提供和用品是按「現況」及「現有」的基礎所提供,包含所有缺陷而TS 20將不承擔任何擔保和作出任何形式的擔保,無論明示或暗示(法定或以其他方式),包括但不限於保證對知識產權的所有權和對有特定目的的適銷性、充分性、質量和適用性保證。TS 20不保證該服務不會中斷或無誤。

 

11.6     在法律允許的範圍內,TS 20一概不負責用戶在合約,侵權(包括過失或違反法定職責)或以其他方式不論如何也不論其原因,對於任何間接的、繼發性、擔保、特殊或偶然損失或損害的服務或產品,或與之有關的任何交易,無論是在或提供的服務或產品的期限後所蒙受的一切損失。就執行本條款和條件的用戶而言,直接或間接蒙受的損失或損害,包括但不限於收入、利潤、預期儲蓄或業務,數據或商譽上的損失,使用任何設備,包括軟件和價值的損失而言、第三方索賠,以及所有相關的和偶然的成本和費用。

 

11.7     TS 20的責任並不明確地把這些條款和條件的用戶或適用的法律排除在外的情況下,TS 20對用戶的合約,侵權(包括過失)或其他凡也不論其原因,通過所產生的原因或與服務或產品,與之有關的或任何交易或合約的損害賠償,其責任只限向用戶交易所收取的最高總金額。

 

11.8     就第11條款而言,所有引用TS 20的字眼包括其管理人員、員工、附屬機構、分包商和代理商。

 

12.       賠償

 

 

12.1     除本條款有任何相反的規定,用戶承諾在任何時候承擔彌償TS 20及其相關公司(連同其各自的管理人員、僱員和代理)(「受影響方」)任何及所有損失、損害、訴訟、法律程序(不論該訴訟已進行或將會進行),涉及受影響方就以下事宜或事件而遭受或者衍生或聲稱對受影響方的任何人士而引致的費用、索賠、要求、責任(包括彌償基準計算的全部法律費用):

 

(a)            該用戶內容或其任何部分(包括但不限於任何使用或處理由TS 20或其關聯公司,及其代理或分包商,用戶的內容);

(b)           服務的表現;

(c)            用戶違反任何合約的條款(包括這些條款和條件的用戶),包括但不限於違反任何在第9條款的保證或承諾;

(d)           任何用戶或其代理人或分包商的行為或疏忽;

(e)            用戶的內容或其任何部分侵犯知識產權或其他權利,或任何聲稱用戶的內容,或其任何部分,侵犯任何一方於世界任何部分的知識產權。

 

12.2     就本條而言,「索賠」是指所有要求,索賠和責任(不論刑事或民事、合約或侵權或其他)。

 

13.       不可抗

 

13.1     不可抗力是指任何東西,或任何事情超出任何一方的合理控制範圍(並非指付款的義務),包括但不限於非人類所控制的行為、火災、暴雨、洪水、地震、爆炸、意外、公眾對抗行為、戰爭、叛亂、暴動、破壞、防疫、檢疫限制、勞資糾紛、勞動力短缺、電力短缺或停電、伺服器損毀、海底傳輸電纜出現的故障而防止或阻礙了使用者傳送檔及提交資料、緊急服務維修是為了要保護實際或合理預期的行為或恐怖主義的威脅(包括互聯網恐怖主義所涉及但不限於發放新的網絡病毒 (即使在合約日期上還未出現的))、刪除、損壞、遺失或移除的數據、交通封鎖、交通故障或延誤,包括但不限於當任何一方沒有接入互聯網的權限或不能夠接入互聯網或任何原因,任何作為或不作為(包括法律、法規、不同意的或沒有得到的批准的)在香港特別行政區政府或任何政府機構不為接受的。           

 

13.2     如果一方全部或部分受到不可抗力事件因而無法履行合約,該方則按照合約上的義務將被暫停直到不可抗力事件的完結為止,而該方不得對未履行的不可抗力事件以任何方式負責。

 

13.3     如果不可抗力事件持續時間超過三十(30)個連續天,然後沒有受到不可抗力事件影響表現的另一方應有權立即以書面通知自行決定終止合約。

 

13.4     除非另有明確規定,本合約上述的終止行為,應不影響雙方在終止日期前的權利和責任。

 

14.       終止

 

14.1     當任何一方違反此使用條款內的細則(或合約),另一方(“終止一方”)可以以書面形式通知另一方有關該方違反此使用條款內的細則(或合約)以終止合約。終止合約的要求是終止一方須就有關該違約給違約一方14日書面通知,及違約一方未能在該限期內糾正錯誤。

 

14.2.1   TS 20可以終止合約並立即取消該用戶的帳戶,當:

(a)            TS 20認為用戶以任何不可接受的方式去使用該服務和當TS 20給了十四天書面通知有關該用戶的違約行為,及用戶未能在期定時間內糾正該違約行為;

(b)           用戶有未付費用或到期應付的款項和向TS 20繳款之事項,如果有的話,該未支付的款項和當TS 20給予用戶14日書面通知有關其違約行為和該用戶未能在有限時間內糾正該違約行為;

(c)            TS 20由於缺乏合理的經營能力而無法提供服務;

(d)           該用戶已被裁定破產或法庭已作出破產接管令,或者如果用戶是無償債能力的債務人或正在進行清盤(無論是自願還是強制),或者如果用戶已進行了任何安排或轉讓利益給他的債權人;

(e)            如用戶是一間公司的情況下,已對公司作出清盤呈請,或者已委任破產管理人, 臨時清盤人或清盤人;

(f)            如用戶是一間公司的情況下,加上TS 20的合理意見,認為該公司已停止經營業務;

(g)            該服務持續運行期間,TS 20在其有絕對酌情權下認為這此行為對TS 20屬非法行為;

(h)           TS 20的合理的意見下,用戶試圖使用,有可能使用或已使用該服務(不論是否得到TS 20的授權和准許)並違反了任何法律;

(i)             TS 20的合理的意見下用戶試圖濫用有可能濫用或已濫用PIP;或

(j)             用戶向TS 20提供的任何資料,或者向TS 20所作出的陳述是不真實,誤導或不準確的,並對TS 20就其提供的服務產生重大不利的影響。

 

14.3     倘若任何政府或監管機構直接或指示或建議TS 20應停止該服務,或該服務會導致TS 20違反任何法律或法規或守則,TS 20有權立即終止合約,並就此終止不賦予用戶任何補償。

 

14.4     如果TS 20無法提供服務或無法繼續提供服務,或TS 20所用的服務軟件或系統不許可或不批准其去使用該軟件TS 20保留權利去立即暫停該服務和及或終止合約。TS 20為此終止對任何用戶一概不負責,用戶亦將無權獲得TS 20任何賠償。

 

14.5     無論因任何原因來終止合約,用戶應維持其義務去支付TS 20所有款項和其他已累積的款項或由用戶以其他方式欠TS 20直到終止日期為止的款項,如有的話。

 

14.6     倘若終止合約是因為其他原因,用戶知道TS 20會在終止合約時立即停止提供有關服務給該用戶和TS 20可擁有酌情權去刪除該用戶的所有資料。

 

14.7     除非另有明確規定,任何一方在終止了合約後不得影響任何一方的權利和法律責任,(包括終止日期前和終止日期當日。)

 

14.8     任何終止或暫停TS 20的服務,不論在甚麼原因下,用戶均不會就此終止合約而獲得任何補償。為免發生疑問,儘管以任何理由終止合約(包括由用戶自行終止)已經支付的費用一概不會退還給其用戶,和TS 20有權保留或處置該費用,但會受退貨政策的約束。

 

14.9     任何終止的合約(不論任何情況)將不影響日後生效或現有的任何條款,包括明示或暗示等。在不限制上述的條款,第3910111214.314.917的條款,即使終止合約後仍然會繼續生效。

 

15.       修改及補充

 

15.1     TS 20保留權利不時修改或補充本使用條款,經TS 20發布後,用戶必須遵守和遵從任何對這條款的修訂或補充(不管是否張貼在其網站或以其他方式發布)。

 

15.2     TS 20保留絕對酌情權在任何時候去自行修改本網站和及或服務,恕不另行通知。

 

15.3 用戶承認並同意在其修改或補充後如繼續使用網站或服務即當作為該用戶已同意遵守更改後的條款。

 

16.       通知

 

16.1     所有通告,通知書或任何有關本合約要求或認許的溝通方法,應採用書面形式,並應充分給予或提供,如果:

(a)            由專人交付;

(b)           以預付郵費的掛號郵遞;

(c)            以合法的傳真發送或通過電子郵件發送,

            給預定收件人到其地址或傳真號碼或電子郵件,須不時以書面形式通知另一方。

 

16.2     任何此類所有通告、通知書、法律程序文件或其他溝通方法須被視為已妥為送達,如果它是 (i) 由專人交付或以預付郵費的掛號郵遞,則在送達時間; (ii) 如成功發送傳真或電子郵件,如通告通知書或其他溝通方法是由TS 20向用戶發出則包括流動應用通知,則在發送時間一刻。

 

17.       規管的法例和爭議解決

 

17.1     此使用條款和因使用其服務和及或本網站而產生的或附帶的任何爭議或事項​​,須受到中華人民共和國香港特別行政區的法律管限,除非另有說明。

 

18.       雜項

 

18.1     任何一方放棄追究另一方違反任何合約的條款不應被解釋為放棄任何後續違反相同或其他的條款。任何一方沒有行使或延遲行使其權利都不應被解釋為放棄追究另一方違反的行為。放棄追究另一方的事宜必須以書面形式紀錄方能有效。

 

18.2     該合約具有約束力,並使各方的繼任人的利益有效。

 

18.3     沒有TS 20事前的書面同意,用戶不得出讓、轉讓、抵押或以其他方式處理該合約或該合約的任何責任。

 

18.4     TS 20有權轉讓其合約的所有或部分的權利、利益及/或責任。

 

18.5     TS 20有權在未經用戶事先同意的情況下,簽訂任何副合約為履行其合約的責任。

 

18.6     雙方的關係是完全獨立的承包人。合約的任何條款不得被視為構成,建立或承認為合資企業,合夥企業或任何形式的正式的商業,而雙方的權利和責任只限於本使用條款所明確列明的。本使用條款的條款不得解釋為授權任何一方充當代理人或代表另一方。

 

18.7     該合約(如根據本使用條款可能不時修訂)將構成各方之間有關提供服務的完整理解,並取代之前任何有關的協議和談判。

 

18.8     本使用條款及合約內的所有條款是獨立執行,而每條條款的效力並不會因其他被定為無效的條款而受到影響。如任何本使用條款的條款被確定為不合法、無效或不能執行,本使用條款的餘下條款將不會受到影響。而且,本使用條款將增添一條或多條合法,有效及可執行的類似的條款。

These Terms & Conditions for Users form part of the Contract (as defined below) between TS 20. INC., LIMITED (“TS 20”) and you. You are referred to as the “User” (as defined below) in these Terms & Conditions for Users.

 

1.1           In these Terms & Conditions for Users, the following words and expressions shall have the following meanings:

 

“Application Form” means the application or application form on the Website, that a User completes and/or submits on the Website to register as a member, to access the Website and to utilise the Service.


“Catalogue” means the catalogue on the Website listing the Products that are available for sale on the Website.


“Changes” means any addition, deletion, modification or alteration to the Service, the manner in which the Service is provided
and/or the performance standards of the Service, as determined by TS 20 from time to time at its sole discretion.


“Charges” means any charges
or fees payable by the User for Products purchased from

 the Website.


“Confirmation of Order” means TS 20’s acknowledgement of
confirming receipt of the User’s Order, which may be by way of a message shown on the Website and/or a confirmation e-mail sent to the User’s specified e-mail address.


“Content” includes text, images, graphics, music, software, audio, video, information or other materials.


“Contract” means a contract entered into by a User and TS 20 that comprises
of (i) the Application Form; and (ii) these Terms & Conditions for Users.


“TS 20” means
TS 20. INC., LIMITED, a limited liability company incorporated in Hong Kong and the seller of the Products on this Website.

 

“External Advertisement” means advertisements placed or posted on the Website by third parties or originating from third parties, other than TS 20.


“Terms & Conditions for Users” means these terms and conditions for Users prescribed by TS 20with respect to the provision by it of the Service and that may be posted by TS 20 on its Website, including any revised or amended version of the same as issued by TS 20 from time to time
at its sole discretion. Any such revised or amended version of the same shall be published onto the Website from time-to-time and without further notice. The User is responsible for regularly reviewing the terms and conditions contained in the Website. The User’s continued access of the Website, utilization of the Service or ordering of any Products following such changes will be deemed acceptance of such changes.


“Intellectual Property Rights” means all vested, contingent and future intellectual property rights including, but not limited to goodwill, reputation, rights in confidential information, copyright, trademarks, logos, service marks, devices, plans, models, diagrams, specifications, source and object code materials, data and processes, design rights, patents, know-how, trade secrets, inventions, get-up, database rights, in each case whether registered or unregistered, and any applications or registrations for the protection of these rights and all renewals and extensions thereof existing in any part of the world, whether now known or in the future created.


“User” means any individual who

“User’s Information” means all information which TS 20 obtains, and any other informationand
/or data provided by the User to TS 20, whether relating to himself/itself or otherwise, as a result of the User’s use of the Service.


“Order” means the order submitted by the User on the Website to purchase Products
from TS 20.


“Party” means either TS 20 or the User (as the case may be), and “Parties” means both TS 20 and the User.


“Private Policy” means TS 20’s policy regarding personal data collected in connection with this Website and the privacy of Users to this Website.

 

“Product Information” means the information including, but not limited to, the Products’ details, ingredients, the ways to use the said Product and/or any write up on the Products, as set out on the Website.


“Products” means the products, goods or items listed in the Catalogue.

 

Promotional Incentive Program (or PIP)” means the incentive structure TS 20 may from time to time put in place, the rules and structure(s) of which might be set, amended, and published on the Website or in such other manner as TS 20 think fit, to encourage and reward the User to invite new users who share the same aspiration for health and fitness to join the TS 20 platform and to purchase and consume the Products. The spirit behind the PIP is to form a community of members sharing the same aspiration for health and fitness and to raise awareness for health and fitness in the wider community of Hong Kong.


“Return Policy” means the return policy relating to the purchase of Products by Users, as set out by TS 20 on the Website, which can be amended by TS 20 from time to time at its sole discretion, and which shall take effect immediately upon such amendment, without first obtaining consent from the User notwithstanding the User having previously agreed to an existing version of the return policy.


“Service” means a service provided by TS 20 whereby TS 20 provides an online platform that allows Users to access, browse and/or search the Catalogue and purchase Products; post and submit
their reviews, questions, comments and/or testimonials on the Products; and/or any other activities, including but not limited to the PIP, as determined by TS 20 at its absolute discretion, in accordance to the terms hereof.

 

“User’s Provisions” means any other terms and conditions which the User may purport to apply and in whichever way the User purports to introduce them


“Website” means
the Internet website(s) and mobile application(s), whether it is based on the Android system, iOS system or such other mobile operating systems, owned or controlled by TS 20, on which TS 20 shall provide the Service, including but not limited to: https://www.ts20challenge.com.


“Working Day” means any day
excluding Saturday, Sunday or other public holidays on which licensed banks are generally open for business in Hong Kong throughout their normal business hour.

 

2.4.         Unless the contrary intention appears:

 

(a)            A reference to these Terms & Conditions for Users, the Privacy Policy, the Return Policy and/or another instrument includes any variation or replacement of any of them;

 

(b)            References to statutory provisions are to those provisions as amended or re-enacted, or as their application is modified by other provisions, from time to time, and include references to any provisions of which they are re-enactments(whether with or without modification);

 

(c)            The singular includes the plural and vice versa;

 

(d)            The word “person” includes an individual in any gender, a company, a corporation, firm, a partnership or a joint venture, an unincorporated body or association, or any government agency, and includes a reference to the person’s executors, administrators, successors, substitutes (including the persons taking by novation) and assigns;

 

(e)            If a period of time is specified and dates from a given day or the day of an act or event, it is to be calculated exclusive of that day;

 

(f)            A reference to a day is to be interpreted as the period of time commencing at midnight and ending twenty-four (24) hours later;

 

(g)            A reference to anything (including, without limitation, any amount) is a reference to the whole and each part of it and a reference to a group of persons is a reference to all of them collectively, to any two or more of them collectively and to each of them individually;

 

(h)           The words “including”, “for example” or “such as” are not used as, or to be interpreted as a word of limitation, and do not limit the meaning of the words to which the example relates to that example or example of a similar kind;

 

(i)             No rule of construction applies to the disadvantage of a Party because that Party was responsible for the preparation of these Terms & Conditions for Users or any part of it; and

 

(j)             Headings are inserted for convenience only and do not affect the interpretation of these Terms & Conditions for Users.

 

3.              APPLICATION OF TERMS & CONDITIONS TO THE SERVICE

2.1.        These Terms & Conditions for Users shall apply to the provision of the Service and/or the use of the Website.

 

2.2.        The User agrees to be bound by and to fully observe and comply with these Terms & Conditions for Users, the Privacy Policy and the Return Policy, which shall be deemed incorporated by reference into these Terms & Conditions for Users.

 

2.3.        These Terms & Conditions for Users shall apply to the Contract to the exclusion of the User’s Provisions. For the avoidance of doubt, the User acknowledges and agrees that TS 20 shall not be bound by any of the User’s Provisions.

 

3.         SERVICE

 

3.1.     Notwithstanding anything that may be to the contrary in the Application Form or the Terms & Conditions for Users, and regardless of the fact that the Contract has been entered into, TS 20 reserves the right to refuse to provide the Service or to refuse commencement of the Service, without having to assign any reason for such refusal and without being liable to the User for any compensation whatsoever. In such event, the Contract between the User and TS 20 shall be deemed to have never been entered into and neither Party shall owe any obligations to the other. Subject to the aforesaid, the Contract shall be deemed to have been entered into on the date that the User is able to access the Service after having applied for access on the Website or after having submitted the Application Form on the Website.

 

3.2      Without prejudice to Clause 3.1, the User acknowledges and agrees that TS 20 will require processing time to activate the Service for the User after the registration of a member’s account and shall not be responsible for the consequent delay in activation of the Service.

 

3.3      Without prejudice to Clause 3.1 and/or notwithstanding anything herein that may be to the contrary, the commencement date of the Service shall be determined at the absolute discretion of TS 20.

 

3.4     The User shall obtain and maintain at its own cost and shall be responsible for, to the absolute exclusion of TS 20, all telecommunications and other services, computers and any other hardware and/or any ancillary software required to enable the User to access the Service via the Internet.

 

3.5      Without prejudice to the foregoing, TS 20 will use reasonable endeavours to provide the Service subject to the terms of the Contract and to the following:

 

(a)            the User acknowledges that the Internet or the systems, servers and equipment through which the Service is provided may from time to time be inoperative in full or in part as a consequence of including, but not limited to (i) mechanical breakdown, maintenance (whether emergency, scheduled or otherwise), hardware or software upgrades, telecommunication connectivity problems; or (ii) other factors beyond the control of TS 20; and

 

(b)            TS 20 shall not be liable in any way whatsoever for its failure or inability to provide the Service or to provide continuous, error-free, uninterrupted Service, whether under the abovementioned or any other circumstances.

 

3.6.     TS 20 neither warrants nor guarantees in any way whatsoever that the User will be able to use the Service continuously or at all, or that such Service will be uninterrupted.

 

3.7.     TS 20 neither warrants nor guarantees that the form, wordings, colour, style, text and look and feel, of the User’s Content that eventually appears on the Website will be the same as the User’s Content when submitted or posted by the User on the Website and TS 20 shall not be liable to the User in any way whatsoever for the aforesaid.

 

3.8.     For the avoidance of doubt, TS 20 retains absolute discretion in:

 

(a)            inserting and publishing any statements on the Website introducing the User’s Content, or in taking such steps as TS 20 deems necessary or appropriate in making clear to viewers of the Website as to the non-endorsement by TS 20 of the statements or information in the User’s Content including, but not limited to inserting and publishing any statements or notice on the Website disassociating itself from any User’s Content or the User, or making clear that TS 20 does not endorse the statements or information set out in the User’s Content; and/or

 

(b)            determining and amending from time to time the terms and conditions or of access to the Website by the public and/or the User.

 

3.9.     The User acknowledges and agrees that:

 

(a)            TS 20 cannot and does not control or verify any External Advertisements, Product Information or any Content contained in such External Advertisements and/or Product Information and the condition, legality or suitability of any Products contained in such External Advertisements;

 

(b)            TS 20 does not warrant that the External Advertisements, Product Information or any Content therein contain accurate information;

 

(c)            the External Advertisements, Product Information and Content therein are provided on an “as is” basis with no warranties whatsoever given by TS 20, and the User shall bear its own risk in relying on the External Advertisements, Product Information and Content contained therein;

 

(d)            TS 20 is not responsible for and shall not be liable in any way whatsoever to the User for any External Advertisements and the Content contained therein;

 

(e)            any transaction it enters into with TS 20 and/or any other third parties will be wholly made at the User’s own risk.

 

3.10    Without prejudice to the foregoing, TS 20 assumes neither responsibility nor liability arising from any Content posted, uploaded, submitted by any User, or from TS 20’s publication of the same, including but not limited to any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, threats, or inaccuracy contained within any such Content. The User undertakes that it shall make no claim and take no legal action whatsoever against TS 20 arising from, relating to or connected with any of the foregoing.

 

3.11    TS 20 is not obligated to provide the Service to the User during times of maintenance (whether emergency or scheduled maintenance or otherwise) and/or hardware or software upgrades to any of the computer systems and/or equipment through which the Service is to be provided.

 

3.12    TS 20 may at its absolute discretion make Changes from time-to-time (including changes to its standards and procedures relating to the Service and whether or not it results in an upgrade or a downgrade of Service performance), without prior written notice.

 

4.         ACCOUNT REGISTRATION

 

4.1      In accessing the Website, utilising the Service, submitting the Application Form and/or in applying for a member’s account, the User warrants that:

 

(a)           the User is at least 18 years old (if the User is below 18 years old, he must obtain consent from his parent(s) or guardian(s),their acceptance of these Terms & Conditions for Users and their agreement to take responsibility for the User’s actions and any charges associated with the purchase of Products);

 

(b)          the User possesses the legal authority to create a legally binding obligation between itself and TS 20;

 

(c)          if the User is an individual and is creating an account for a business entity, that the User is agent for and acts on behalf of the business entity and that it has the legal authority to create a legally binding obligation between TS 20 and the said corporate/business entity;

 

(d)          the User will use the Service and/or the Website in accordance with these Terms & Conditions for Users;

 

(e)          all information supplied by the User in the Application Form, on the Website is true, accurate, current and complete during the registration process and the User shall from time-to-time update such information to keep it accurate, current and complete;

 

(f)           the User shall safeguard his account information including, but not limited to his/its password which he/it shall not disclose to any third party. The User shall take sole responsibility for any activities or actions under his/its member’s account, whether or not he/it has authorized such activities or actions;

 

(g)          the User’s account is for individual personal use only, and the User may not assign or transfer his/its account to any other person or entity;

 

(h)          the User shall not misuse the Service; and

 

(i)           where the User enrolls the PIP, the User shall not abuse the process of PIP for his personal gain. The User shall observe the spirit behind and the rules of the PIP, and shall ensure that he shall only purchase the Products for his own personal consumption; and

 

(j)           where the User invites new users to join the PIP and/or other relevant incentive based promotional program(s) of TS 20, he shall use his reasonable endeavor to ensure that the new users join the PIP out of their desire to enjoy the health and fitness related benefits by consuming the Products. In any event, the User shall not treat the PIP as a tool to generate commission by way of recruiting new users. The User shall at all times observe the spirit behind the PIP, that is, to raise awareness of health and fitness in the wider community.

 

4.2.      TS 20 has the absolute discretion to terminate the registration of any User for any reason whatsoever.

 

5.         CHARGES AND PAYMENT

 

5.1           The User shall pay to TS 20 the Charges for the Products ordered on the Website. Once payment has been made, Charges are neither refundable nor exchangeable, except in accordance with this Terms & Conditions for Users and/or the Return Policy. The User agrees that once the Charges have been paid to TS 20, title in the Charges shall wholly belong to TS 20.

 

5.2           The User shall pay the Charges by either PayPal, credit card or any other payment mechanism permitted by TS 20, as described on the Website. The User hereby authorises TS 20 to collect (whether directly or indirectly) such amounts by charging the User’s credit card (details of which were provided by the User), via a third party online payment processor or by one of the payment methods described on the Website. The User shall provide customary billing information such as name, billing address, contact number and credit card information to TS 20 or its third party online payment processor, where requested.

 

5.3           If the User is directed to TS 20’s third party payment processor, the User may be subject to terms and conditions governing use of that third party’s service and that third party’s personal information collection practices. TS 20 shall not be responsible for any damage, loss or harm to the User resulting from the User’s use of that third party’s service. For the avoidance of doubt, the User agrees that any legal remedy or liability that the User seeks to obtain for actions or omissions of such third parties will be limited to a claim against the third parties who caused the User’s harm and the User agrees not to attempt to impose liability on, or seek any legal remedy from TS 20 with respect to such actions or omissions. Accordingly, the User shall be responsible for reviewing such third party’s terms and conditions and privacy policy before using the services of such third party.

 

5.4           The User acknowledges and agrees that TS 20 cannot control any fees that may be charged to the User by its bank in relation to the payment of the Charges and the User shall be wholly responsible for the same.

 

5.5           TS 20 may at any time review and revise the Charges at its sole discretion, and any new Charges so specified by TS 20 on the Website shall apply from such date as TS 20 may determine at its absolute discretion thereafter.

 

5.6           Unless otherwise specified, all Charges are payable in Hong Kong Dollars.

 

6.         ORDERS AND DELIVERY

 

6.1           The User shall make an offer to purchase Products by submitting an Order on the Website, in such form or manner as may be specified on the Website. TS 20 acknowledges the Order by issuing the Confirmation of Order thereafter.

 

6.2           The User acknowledges and agrees that the Order remains an offer to purchase and TS 20 shall not be obliged to supply the Products to the User until TS 20 has accepted the Order by dispatching the Order to the delivery address provided by the User.

 

6.3           Prior to the issuance of the Confirmation of Order by TS 20, TS 20reserves the right not to process the User’s Order and the User reserves the right to cancel the said Order. For the avoidance of doubt, on the issuance of the Confirmation of Order by TS 20, the User shall not be entitled to cancel or make amendments to the Order for which the Confirmation of Order.

 

6.4           There may be instances where errors may occur, in which case TS 20 is under no obligation to fulfill the Order (even after the Confirmation of Order has been issued). If TS 20 discovers an error in the description or price of any Products which the User has ordered, TS 20 will inform the User of the error as soon as possible and give the User the option of reconfirming the Order at the correct description or price, or cancelling the Order. If TS 20 is unable to contact the User, TS 20 will treat the Order as cancelled. Where the Order is cancelled under this Clause and the User has already paid for the Order, the User will be entitled to a full refund of any sums paid by the User.

 

6.5           Subsequent to the Confirmation of Order, TS 20 shall endeavour to deliver the purchased Products to the User at the place of delivery requested by the User in the Order or by way of electronic transmission, where appropriate and at the absolute sole discretion of TS 20.

 

6.6           TS 20 shall make every effort to fulfill orders placed by the User, but shall not be liable to any User if TS 20 shall decline to or become unable to fulfill an Order for whatever reason including, but not limited to supply shortage and supply modification.

 

6.7           The User acknowledges and agrees that TS 20 shall not be liable to the User for any losses, liabilities, costs, damages, charges or expenses arising out of or in connection with any late delivery by TS 20.

 

6.8           The User acknowledges and agrees that risk of loss or damage to the purchased Products passes to the User upon dispatch. The User acknowledges and agrees that title to the purchased Products passes to the User upon delivery.

 

6.9           If delivery is delayed through the User’s unreasonable refusal to accept delivery, or if the User does not accept delivery (within fourteen (14) days after TS 20’s first attempt to deliver the Product to the said User) or collect the Product from the relevant courier, or an incorrect address is provided by the User, TS 20 may (without prejudice to another other right or remedy under this Terms & Conditions of Users):

 

(a)            charge the User for TS 20’s reasonable storage fees, re-delivery costs and/or other costs reasonably incurred by TS 20 in delivering the Products; and/or

 

(b)            no longer make the purchased Product available for delivery and notify the User that the applicable contract is cancelled with immediate effect, in which case TS 20 will refund to the User the applicable Charges actually paid by the User (less any reasonable administrative fees or other costs as provided in Clause 6.9(a).

 

7.         CANCELLATION

 

7.1           TS 20 reserves the right to cancel the applicable Contract and Confirmation of Order if it discovers an error or the applicable Products in the Order are not available for any reason. In such event, TS 20 shall notify the User and return any Charges already made, in such form as determined by TS 20.

 

 

8.         USER’S CONTENT AND USER CONDUCT

 

8.1           TS 20 may at its absolute discretion from time-to-time to edit or modify or refuse to publish any User’s Content without providing a reason, if any such User’s Content in TS 20’s sole opinion:

 

(a)            are not of a quality or condition suitable for processing based on TS 20’s prevailing standard specifications and procedures applicable for the same;

 

(b)            do not comply with TS 20’s applicable standards and procedures;

 

(c)            are otherwise not in proper machine-readable form; or

 

(d)            contain any material that TS 20 deems at its absolute discretion, to:

 

(k)           have breached any terms and conditions of the Contract;

 

(ii)           likely to subject TS 20 to unfavourable regulatory or statutory action;

 

(iii)          contravene or likely to contravene any law; or

 

(iv)          infringe or likely to infringe the rights of any persons;

 

(v)           subject or likely to subject TS 20 to liability for any reason whatsoever.

 

8.2.      In the event that:

 

(a)            the User’s Content; or

 

(b)            the Service,


would cause TS 20 to be in breach of any laws, rules and regulations or guidance to which it is subject, TS 20 shall be entitled to immediately suspend the Service and/or remove the User’s Content from the Website, without incurring any liability to the User whatsoever. In the event of the aforesaid happening, TS 20 has the right to immediately terminate the Contract without incurring any liability to the User whatsoever.

 

8.3.      The User acknowledges and agrees that the User shall be solely responsible for compliance with any and all laws, ordinances, rules and regulations that may apply to its access and use of the Website and/or Service.

 

8.4.      In relation to the User’s use of the Website and/or Service, the User warrants and represents that it shall not:

 

(a)            violate any laws, ordinances, rules, regulations or any order made by a court;

(b)            use the Website and/or Service for any other purposes that are not expressly permitted by the Contract;

(c)            infringe the rights of any person or entity, including but not limited to, their Intellectual Property Rights, privacy, or contractual rights;

(d)            use the Website to distribute unsolicited e-mails, advertisements, messages, or any other form of spam;

(e)            harass, stalk or cause annoyance to any other User of the Website or Service;

(f)            collect or store any personally identifiable information about any other User;

(g)            use any information acquired through the use of the Website and/or Service for any other purpose, whether lawful or unlawful;

(h)           impersonate any person or entity, or otherwise misrepresent himself as another person or entity;

(i)             use the Service and the Website  for any unlawful purpose;

(j)             make any misrepresentations when using the Service;

(k)           post, upload, publish, submit or transmit any Content that: (i) is, or may be reasonably suspected by the User to be, fraudulent, false, misleading or deceptive; (ii) is defamatory, obscene, pornographic, vulgar or otherwise offensive; (iii) is racist or discriminating against any individual or group; (iv) is violent or threatening or promotes violence;(v) promotes illegal or harmful activities; or (vi) violates any laws and regulations;

(l)             swear, use profanities, obscenities or any bad language of any kind, even if disguised with asterisks;

(m)          access or tamper with the nonpublic areas of the Service or the Website;

(n)           interfere with or damage the Website or Service, through the use of transmit or distribute viruses including, but not limited to Trojan horses, malicious codes, malwares, or other similar methods or technology;

(o)           attempt to probe, scan, or test the vulnerability of the Website system or network or breach any authentication measures;

(p)           attempt to affect the performance or functionality of any Service or access provided by the Website;

(q)            avoid, bypass, deactivate, remove, or otherwise circumvent any technological measures implemented by TS 20 or any of TS 20’s providers to protect the Website;

(r)            advocate, encourage or assist any third party in doing any of the foregoing;

(s)            use the Service and/or the Website to commit any criminal offence;

(t)            abuse the spirit behind the PIP by treating the PIP solely as a tool to earn commission; and

(u)            use fraudulent, oppressive and/or otherwise illegal and/or inappropriate means to induce new users to join PIP and/or the platform of TS 20.

 

8.5.      The User acknowledges and agrees that TS 20 shall have the right to investigate and prosecute any violation of any of the sub-clauses provided in Clause 8.4 to the fullest extent of the law. In any event, TS 20 may report and co-operate with the relevant law enforcement authorities in prosecuting any User who violates Clause 8.4 and may take appropriate legal action.

 

8.6.      For the avoidance of doubt, the User acknowledges and agrees that TS 20 has no obligation to monitor the User’s access and use of the Website or Service, or to review, edit or update any User’s Content, without prejudice to TS 20’s rights to do so.

 

8.7.      Without prejudice to any other remedies provided in accordance with the Contract or at law, TS 20 reserves the right, at any time and without prior notice, to remove or disable access to any User’s Content that TS 20, at its sole discretion, considers to be objectionable for any reason or in violation of the terms provided in these Terms & Conditions for Users.


9.         INTELLECTUAL PROPERTY RIGHTS AND WARRANTIES

 

9.1.      The User acknowledges that all Intellectual Property Rights in the software and technology comprised in the Service are retained exclusively by TS 20 and/or their rightful owner(s) and the User shall not do or permit any act which is directly or indirectly likely to prejudice the rights, title or interest of the said rightful owner(s) in and to any of the aforesaid. The User shall not use in any way and shall not reproduce any trademarks that is associated with the Service, TS 20 or that the User has sight of when using the Service (collectively the “Trademarks”), without the prior written consent of TS 20.

 

9.2.      The User hereby undertakes and agrees:

 

(a)            that TS 20 is the true and lawful owner of the Trademarks and all derivatives thereof;

 

(b)            not to use the Trademarks or any derivatives thereof or any other name or mark confusingly similar as the aforesaid;

 

(c)            that all rights, title, interest and any goodwill in the Trademarks or any derivatives thereof belong exclusively to TS 20; and

 

(d)            not to register domain names associated with or including the Trademarks or any derivatives thereof or any name that is confusingly similar to any of them including any visual or phonetic equivalent or other derivation thereof.

 

9.3.      TS 20 does not represent or warrant that the use or application of the Service by the User will not constitute an infringement or misuse of any Intellectual Property Rights.

 

9.4.      The User agrees to assume all risks arising out of or relating to its use of the Service. Notwithstanding anything that may be to the contrary, TS 20 makes no warranty that any information, software or any material made available by TS 20 via the Internet relating to the Service does not contain computer viruses and TS 20 accepts no responsibility or liability whatsoever relating to the aforesaid.

 

9.5.      The User agrees to be bound by and shall execute any end user licence agreements relating to any software or technology utilised in the Service that TS 20 may from time to time require the User to agree to and execute for the purpose of the provision of the Service, failing which the Service shall be discontinued or suspended at the discretion of TS 20.

 

9.6.      The User hereby grants to TS 20, its related corporations and TS 20’s agents and subcontractors, a perpetual, irrevocable, worldwide, non-exclusive, no-charge, royalty-free, sub-licenseable and transferable licence to use, process, display, re-produce, store, publish, transmit, communicate, adapt, translate, modify, deal in, and/or to use in any other way whatsoever, the User’s Content, or any part thereof, for any purpose.

 

            The User agrees that TS 20 shall have no duty to attribute authorship of the User’s Content to the User, and shall not be obligated to enforce any form of attribution by third parties. TS 20 reserves the right to disclose, and the User hereby consents to such disclosures of, the User’s identity and personal data (i) for the purpose of attribution, and (ii) to any third party who claims material posted by the User violates their rights, including without limitation, their intellectual property and privacy rights.

 

9.7.      The User shall ensure, and warrants and represents to TS 20 that:

 

(a)            all information, materials and User’s Content that the User publishes or uploads shall not be defamatory of any party;

 

(b)            the User’s Content do not infringe the rights of any party (including any Intellectual Property Rights of any third party throughout the world);

 

(c)            it is the proprietor or authorised licensee of any and all Intellectual Property Rights (including copyright) in the User’s Content. The User further warrants that none of the Intellectual Property Rights in the User’s Content infringe the rights of any third party. In cases where the User is the licensee of any such Intellectual Property Rights in the User’s Content, the User warrants that it has a licence and has obtained the necessary consents to permit TS 20 to deal in and use the aforesaid Intellectual Property Rights in any way conceivable and for any purpose;

 

(d)            the User is entitled to enter into the Contract, is able to perform its obligations under the Contract and to grant TS 20 the rights (including the licence under Clause 9.6) under the Contract;

 

(e)            the User has all the necessary consents, licences, permits and approval(s) from the relevant authorities, bodies, organisations or as required by applicable laws in order to perform its obligations under the Contract;

 

(f)            the User’s Content do not infringe any laws, rules and regulations of any territory, including Hong Kong;

 

(g)            the User’s Content will not cause TS 20 to infringe the rights of any person or to infringe any laws, rules and regulations of any including, including Hong Kong;

 

(h)           the User’s Content do not cause annoyance, embarrassment, distress, harassment, disturbance or nuisance of any kind whatsoever, or which is not in the public interest, or contain obscene, racially or ethnically objectionable material, or be offensive in any way.

 

9.8.      The User undertakes:

 

(a)            not to send or submit any materials or information or otherwise use the Service for a purpose, which are prohibited by laws, rules and regulations in any territory, including Hong Kong;

 

(b)            not to cause TS 20 to do anything that would amount to a contravention of the laws, rules and regulations in any territory, including Hong Kong; and

 

(c)            that in using the Service, the User will not do anything that will be unlawful or that will infringe the Intellectual Property Rights of any third party.

 

9.9.      The User shall only have a limited, non-exclusive and revocable right for the duration of the Contract to access and view Content posted by TS 20, for the User’s personal and non-commercial purpose, subject to these Terms & Conditions for Users including payment of Charges where required by TS 20.

 

9.10.    The User shall not use, copy, modify, adapt, distribute, create derivative works from, license, sell, broadcast or otherwise exploit or deal in the Content posted by TS 20, except as expressly permitted under these Terms & Conditions for Users.

 

 

 

 

10.       CONFIDENTIALITY

 

10.1.    From time to time during the term of the Contract, TS 20 (the “Disclosing Party”) may, but is not obliged to, disclose information to the User (the “Receiving Party”) that is proprietary or confidential. The Receiving Party shall maintain in strict confidence all confidential or proprietary information of the Disclosing Party including, but not limited to designs, plans or any other information relating to any research project, work in process, future development, scientific, engineering, manufacturing, marketing or business plan or financial or personnel matter relating to the Disclosing Party, its present or future products, sales, suppliers, employees, investors or business, including prices and discounts (“Confidential Information”) identified by the Disclosing Party or where it ought reasonably to be known as Confidential Information, whether in oral, written, graphic or electronic form.

 

10.2.    The Receiving Party shall not use, disclose or grant the use of such Confidential Information to any third party except for the purposes of performing obligations to the Disclosing Party under the Contract. The Receiving Party shall ensure its employees, agents or consultants to whom disclosure is to be made on a need to know basis, hold the Confidential Information in strict confidence and not make any use of such information for any purpose other than those expressly permitted by the Contract. The Receiving Party shall use (and require that all employees, agents and consultants) at least use the same standard of care as the Receiving Party uses to protect its own Confidential Information of a similar nature from unauthorised use or disclosure, but in no event less than reasonable care. The Receiving Party shall promptly notify the Disclosing Party upon discovery of any unauthorised use or disclosure of the Confidential Information of the Disclosing Party.

 

10.3.    The obligations contained in Clause 10.1 and 10.2 shall not apply if:

 

(a)            the Confidential Information was already known to the Receiving Party, other than under an obligation of confidentiality, at the time of disclosure by the Disclosing Party;

 

(b)            the Confidential Information was generally available to the public or otherwise part of the public domain at the time of its disclosure to the Receiving Party;

 

(c)            the Confidential Information became generally available to the public or otherwise part of the public domain after its disclosure and other than through an act or omission of the Receiving Party in breach of the Contract;

 

(d)            the Confidential Information was disclosed to the Receiving Party, other than under an obligation of confidentiality, by a third party who had no obligation to the Disclosing Party not to disclose such information to others; or

 

(e)            the disclosure or use is required by law, any regulatory body or the rules and regulations of a relevant recognized stock exchange.

 

10.4.    This Clause shall survive termination of the Contract.


11.       LIMITATION OF LIABILITY

 

11.1.    The User acknowledges that (i) the Service presents the possibility of human and machine errors, omissions, delays, and losses, including the inadvertent loss of data; and (ii) the Products may contain manufacturing faults which are not attributable to TS 20, which may give rise to loss or damage suffered by the User, and the User agrees that it shall not hold TS 20 liable in any way whatsoever for the said loss or damage.

 

11.2.    TS 20 makes no guarantee, representation or warranty whatsoever:

 

(a)            that the Service will be available on a continuous or 24 hours a day, 7 days a week basis;

 

(b)            that the Website will be available on a continuous or 24 hours a day, 7 days a week basis for access; and/or

 

(c)            of the effect or benefits that can be derived by the User from using the Service or from using the Products.

 

11.3.    The User acknowledges that TS 20’s systems, servers and equipment, or such other third party systems, services and equipment, used to operate the Website, may from time to time be inoperative or only partly operational as a consequence of mechanical breakdown, maintenance, hardware or software upgrades, telecommunication connectivity problems or other causes whatsoever. TS 20 may schedule downtime for the Website for maintenance purposes without giving notice thereof. TS 20 shall not be liable for any loss, damage, claims, costs or expense of any kind arising from any such downtime, or from any unavailability or inoperability of any telecommunications systems or internet, technical malfunction, error, omission, interruption, delay in operation or transmission, computer error or viruses, any failure in communication lines or telecommunications networks, or any corruption or loss of data or other disruption of any kind.

 

11.4.    Subject to this clause and to the other clauses of these Terms & Conditions for Users, TS 20 warrants that, as at the time of delivery, the purchased Products will be of merchantable quality, fit for any purpose made known the User at the time the Order is placed.

 

11.5.    The User acknowledges and agrees that the Service and Products are provided on an “as is” and “as available” basis, with all faults, and TS 20 disclaims all warranties and makes no warranty of any kind, whether express or implied (statutory or otherwise), including but not limited to warranties on the ownership of Intellectual Property Rights and implied warranties of merchantability, sufficiency, quality and fitness for a particular purpose. TS 20 does not warrant that the Service will be uninterrupted or error-free.

 

11.6.    To the extent permitted by law, TS 20 shall not be liable to the User in contract, tort (including negligence or breach of statutory duty) or otherwise howsoever and whatever the cause thereof, for any indirect, consequential, collateral, special or incidental loss or damage suffered or incurred by the User in connection with the Service or Products, or any transaction relating thereto, whether during or after the term of the provision of the Service or Products. For the purposes of these Terms & Conditions for Users, indirect or consequential loss or damage includes, without limitation, loss of revenue, profits, anticipated savings or business, loss of data or goodwill, loss of use or value of any equipment including software, claims of third parties, and all associated and incidental costs and expenses.

 

11.7.    Where TS 20’s liability is not expressly excluded under these Terms & Conditions for Users or under any applicable law, TS 20’s liability for damages to the User in contract, tort (including negligence) or otherwise whosoever and whatever the cause thereof, arising by reason of or in connection with the Service or Products, any transaction relating thereto or the Contract shall be up to a maximum aggregate amount of the Charges actually received by TS 20 from that User.

 

11.8.    For the purposes of this Clause 11, all references to TS 20 shall also include its respective officers, employees, affiliates, sub-contractors and agents.


12.       INDEMNITY

 

12.1.    Notwithstanding anything that may be to the contrary, the User undertakes to indemnify and at all times hereafter to keep each of TS 20 and its related corporations (together with their respective officers, employees and agents) (the “Affected Party”) indemnified against any and all losses, damages, actions, proceedings (whether such proceedings have been brought or are threatened to be brought), costs, claims, demands, liabilities (including full legal costs on an indemnity basis) which may be suffered or incurred by the Affected Party or asserted against the Affected Party by any person whatsoever, in respect of any matter or event whatsoever arising out of, in the course of, by reason of or in respect of:

 

(a)            the User’s Content or any part thereof (including but not limited to any use or dealing by TS 20 or its related corporations, its agents or sub-contractors, of the User’s Content);

 

(b)            the performance of the Service;

 

(c)            a breach by the User of any of the provisions in the Contract (including these Terms & Conditions for Users), including but not limited to a breach of any of the warranties or undertakings in Clause 9;

 

(d)            any act or omission of the User or its agents or sub-contractors; and

 

(e)            the User’s Content, or any part thereof, infringing the Intellectual Property Rights or other rights of, or any claim that the User’s Content, or any part thereof, infringe, the Intellectual Property Rights of, any party, in any part of the world.

 

12.1.    For the purposes of this Clause, “claim” shall mean all demands, claims and liability (whether criminal or civil, in contract or tort or otherwise).


13.       FORCE MAJEURE

 

13.1.    Force Majeure means anything or any event outside the reasonable control of a Party (other than in respect of payment obligations), including but not limited to, acts of God, fire, storm, flood, earthquake, explosion, accident, acts of the public enemy, war, rebellion, insurrection, sabotage, epidemic, quarantine restriction, labour dispute, labour shortage, power shortage or failure, server crashes, severance of the Internet submarine transmission cable under the sea that prevents or impedes the transmission of User submissions and data, emergency maintenance on the Service that is necessary to protect the Service in response to actual or reasonably anticipated acts or threats of terrorism (including internet terrorism involving but not limited to the release of new internet viruses and worms that are not in existence at the date of the Contract), deletion, corruption, loss or removal of data, transportation embargo, failure or delay in transportation, including without limitation where a Party ceases to be entitled to access the Internet or ceases to have access to the Internet for whatever reason, any act or omission including laws, regulations, disapproval’s or failures to approve of the Government of the Hong Kong Special Administrative Region or of any of its government agencies.

 

13.2.    If a Party is wholly or partially precluded from complying with its obligations under the Contract by a Force Majeure event, then that Party’s obligation to perform in accordance with the Contract will be suspended for the duration of the Force Majeure event and that Party shall not be liable in any way whatsoever for its failure to perform for the duration of the Force Majeure event.

 

13.3.    If the Force Majeure event continues for a period in excess of thirty (30) continuous days, then the Party whose performance is not prevented by such Force Majeure event shall be entitled at its sole discretion to terminate the Contract forthwith on notice in writing.

 

13.4.    Except as otherwise expressly set out herein, termination of the Contract as aforesaid shall be without prejudice to the rights or liabilities of the Parties that have accrued prior to the date of termination.


14.       TERMINATION

 

14.1.    Either Party (“Terminating Party”) may terminate the Contract by providing written notice to the other Party where the other Party breaches any of the terms and conditions of these Terms & Conditions for Users (or the Contract) and the Terminating Party has given fourteen (14) days’ written notice of such breach and the other Party has failed to rectify such breach within that period.

 

14.2.    TS 20 may terminate the Contract and cancel the User’s account immediately where:

 

(a)            TS 20 is of the opinion that the Service has been used by the User in any manner unacceptable to TS 20, and where TS 20 has given fourteen (14) days’ written notice of such breach to the User and the User has failed to rectify such breach within that time;

 

(b)            the User has outstanding Charges or any other monies due and payable to TS 20, if any, which remain unpaid, and where TS 20 has given fourteen (14) days’ written notice of such breach to the User and the User has failed to rectify such breach within that time;

 

(c)            TS 20 is unable to provide the Service due to lack of reasonable operating capacity;

 

(d)            the User has been adjudged bankrupt or if a receiving order has been made against it, or if the User is insolvent or is in liquidation (whether voluntary or compulsory) or if the User has made compositions or arrangements with, or assignment for the benefit of its creditors;

 

(e)            the User, in the case of a corporation, has a winding-up petition presented against it, or has a receiver or a provisional liquidator or a liquidator appointed;

 

(f)            the User, in the case of a corporation, has in TS 20’s reasonable opinion, ceased to carry on business;

 

(g)            the continued operation of the Service would in the opinion of TS 20 (at its absolute discretion) be unlawful to TS 20;

 

(h)           in TS 20’s reasonable opinion, the User attempted to use, is likely to use or has used the Service (whether with or without the authorisation and/or permission of TS 20) in contravention of any law;

 

(i)             in TS 20’s reasonable opinion, the User attempted to abuse, is likely to abuse or has abuse the process of the PIP; or

 

(j)             any material information provided or representation made by the User to TS 20  is untrue, misleading or inaccurate or  has an adverse material impact on TS 20  in relation to its provision of the Service.

 

14.3.    In the event that any governmental or regulatory authorities direct or instruct or give guidance that TS 20 should cease the Service, or the Service would cause TS 20 to be in breach of any laws or regulatory requirements or guidance to which it is subject, TS 20 shall be entitled to immediately terminate the Contract without entitling the User to receive any compensation in respect of such termination.

 

14.4.    TS 20 reserves the right to immediately suspend the Service and/or terminate the Contract if TS 20 is unable to provide the Service or is unable to continue providing the Service due to a termination of the underlying licence or agreement permitting TS 20 to use the software or system through which the Service is to be provided. TS 20 shall not be liable to the User whatsoever and the User shall not be entitled to receive any compensation from TS 20, arising from such immediate termination.

 

14.5.    Regardless of termination of the Contract for any reason, the User shall remain obligated to pay TS 20 all Charges and any other sums that have accrued or are otherwise owed by the User to TS 20 up to the date of termination, if any.

 

14.6.    In the event of termination of the Contract due to any cause the User acknowledges that TS 20 will upon termination of the Contract immediately cease providing the Service to that User and TS 20 may at its absolute discretion delete all of the User’s Content.

 

14.7.    Unless otherwise expressly stated, any termination by either Party of the Contract shall be without prejudice to any other rights or liabilities of either Party accrued prior to and including the date of termination.

 

14.8.    Any termination or suspension of the Service by TS 20 for whatever reasons shall not entitle the User to receive any compensation in respect of the termination. For the avoidance of doubt, notwithstanding termination of the Contract for any reason whatsoever (including where it is terminated by the User), Charges paid are not refundable to the User and the Charges shall be wholly retained by TS 20 for TS 20’s absolute disposal and use, subject to the Return Policy.

 

14.9.    Any termination of the Contract (howsoever occasioned) shall not affect the coming into force or the continuance in force of any clause hereof which is expressly or by implication intended to come into or continue in force on or after such termination. Without limiting the generality of the foregoing, Clauses 3, 9, 10, 11, 12, 14.3 to 14.9 and 17 of these Terms & Conditions for Users shall survive termination of the Contract.


15.       MODIFICATIONS AND AMENDMENTS

 

15.1.    TS 20 reserves the right to amend or supplement these Terms & Conditions for Users from time-to-time, and the User shall be bound to observe and comply with any such amendments or supplements to these Terms & Conditions for Users upon their publication by TS 20 (whether by posting on the Website or otherwise).

 

15.2.    TS 20 reserves the right, at its absolute sole discretion, to modify the Website and/or Service, including the Charges, at any time and without prior notice.

 

15.3.    The User acknowledges and agrees that any continued access and utilisation of the Website or Service after any such amendments or modifications shall be deemed to be an agreement by the User to be bound by the modified terms.


16.       NOTICES

 

16.1.    All notices, demands or other communications required or permitted to be given or made under or in connection with the Contract shall be in writing and shall be sufficiently given or made if :

 

(a)            if delivered by hand;

 

(b)            sent by pre-paid registered post; or

 

(c)            sent by legible facsimile transmission or by e-mail (previously provided by the User) or, if such notices, demands or other communications were sent from TS 20 to the User, by mobile application notification,


addressed to the intended recipient at its address or facsimile number or e-mail address as may be notified to the other Party in writing from time to time.

 

16.2.    Any such notice, demand, court process or communication shall be deemed to have been duly served if it is (i) delivered by hand or sent by pre-paid registered post, at the time of delivery; or (ii) if made by successfully transmitted facsimile or e-mail transmission, or, if such notices, demands or other communications were sent from TS 20 to the User, by mobile application notification, at the time of dispatch.


17.       GOVERNING LAW AND DISPUTE RESOLUTION

 

17.1.    The Terms & Conditions for Users and any dispute or matter arising from or incidental to the use of the Service and/or the Website shall be governed by and construed in accordance with the laws of Hong Kong unless otherwise specified.


18.       MISCELLANEOUS

 

18.1.    The waiver by a Party of a breach or default of any of the provisions of the Contract by the other Party shall not be construed as a waiver of any succeeding breach of the same or other provisions nor shall any delay or omission on the part of a Party to exercise or avail itself of any right power or privilege that it has or may have hereunder operate as a waiver of any breach or default by the other Party. A waiver has to be in writing to be effective.

 

18.2.    The Contract shall be binding upon and enure for the benefit of the successors in title of the Parties hereto.

 

18.3.    The User shall not assign, transfer, charge or otherwise deal with the Contract or any obligation under the Contract, without the prior written consent of TS 20.

 

18.4.    TS 20 has the right to assign or transfer all or part of its rights, benefits and/or obligations under the Contract.

 

18.5.    TS 20 has the right to enter into any sub-contract for the performance of any of its obligations under the Contract without prior consent of the User.

 

18.6.    The relationship of the Parties shall be solely that of independent contractors. Nothing in the Contract shall be deemed to constitute, create or give effect to or otherwise recognize a joint venture, partnership or formal business entity of any kind, and the rights and obligations of the Parties shall be limited to those expressly set forth herein. Nothing herein contained shall be construed as authorizing either Party to act as an agent or representative of the other Party.

 

18.7.    The Contract (as may be amended from time to time pursuant to the terms hereof) shall constitute the entire understanding between the Parties hereto concerning the provision of the Service and supersedes and replaces any prior agreements and negotiations related to the subject matter herein.

 

18.8     Each clause of the Contract and this Terms & Conditions for Users shall be enforceable independently of each other and the validity of each clause shall not be affected if any of the others are determined to be invalid. If any part of any clause of these Terms & Conditions for Users is determined to be illegal, invalid or unenforceable, the validity and enforceability of the remaining part of the relevant clause shall not be affected and, in lieu of such illegal, invalid or unenforceable provision, there shall be added as part of the Terms & Conditions for Users one or more clauses as similar in terms as may be legal, valid and enforceable under the applicable law.

 

18.9     In the event of any discrepancy in any translation of this text, the English version shall prevail.
